McCormick Law & Consulting Announces Successful Closing of $9 Million Physician Practice Transaction

Raleigh, North Carolina — McCormick Law & Consulting is pleased to announce the successful closing of a $9 million physician practice sale handled through the firm’s Raleigh, North Carolina office. The transaction involved a highly structured sale incorporating a tax-efficient F reorganization, rollover equity into the parent company, and the implementation of an ongoing Management Services Agreement (MSA) designed to support long-term operational and financial alignment between the parties.

The transaction involved a single physician owner, while also requiring coordination across multiple stakeholders, including management entities, lenders, investors, and regulatory advisors. The deal structure was designed to preserve operational continuity, facilitate the physician’s ongoing participation through rollover equity, and optimize tax positioning and post-closing management efficiency.

John McCormick served as co-counsel on the transaction, working collaboratively with another North Carolina-based law firm to successfully navigate the legal, regulatory, tax, and transactional complexities required to close the sale. The cooperative approach between firms allowed the parties to efficiently resolve structuring challenges and meet an accelerated closing timeline.
